Terms of Service
Effective date: October 12, 2026
Version: 1.1
Welcome to Hubport. This document is a legal agreement (the "Agreement") between you (the "Customer") and HITECH GLOBAL COMPANY LIMITED ("Hubport" or "we") governing your use of the Hubport software.
By registering an account, making a payment or starting to use the Software, the Customer confirms having read, understood and agreed to all the terms below.
1. Definitions
- "Software": the Hubport system, including web and mobile applications, application programming interfaces (API), user documentation and updates developed and owned by us.
- "Customer": an individual or organization that signs up and pays to be granted a License to use the Software.
- "License": a time-limited, non-exclusive, non-transferable right granted by Hubport to access and use the Software's features.
- "Plan": the set of features, limits (stores, staff, etc.) and term selected by the Customer.
2. Accounts and security
- The Customer provides accurate, complete information when registering and keeps it up to date.
- The Customer keeps login details, passwords and API keys secure and is responsible for all activity under its account.
- The Customer manages staff permissions and revokes access when staff leave.
- Hubport is not liable for losses caused by the Customer disclosing access credentials.
3. Payment, delivery and acceptance
As the Software is provided as a service (SaaS), delivery works as follows:
- Payment: the Customer pays 100% of the Plan price before each term, according to the price list published at sign-up.
- Delivery: the License is deemed delivered when the system sends the account activation confirmation by email or in-app notice.
- Acceptance: the Customer signing in and starting to use the Software constitutes acceptance; no paper acceptance record is required.
- Invoices: invoices are issued as "Software license fee" or an equivalent description as required by regulations.
- Renewal and upgrades: the Customer may renew, upgrade or add stores and staff at any time; differences are prorated for the remaining term.
4. Refund policy
Unless otherwise agreed in writing, Plan fees paid are non-refundable, including when the Customer stops using the Software early. A free trial is available before purchase to evaluate fit.
5. Acceptable use
The Customer agrees not to use the Software to:
- Send spam or scams, or distribute obscene, violent or unlawful content.
- Violate community standards or the policies of third-party platforms (Meta, TikTok, Zalo, Shopee, Google, etc.).
- Collect or trade personal data unlawfully.
- Intrude upon, scan or damage the system, or copy or reverse-engineer the Software's source code.
Violations: Hubport may suspend or permanently close violating accounts without notice and without refund, and cooperate with authorities where needed.
6. Updates and feature changes
Hubport is continuously improved. We may update, adjust, add or discontinue certain features to improve performance and keep the system secure. Such changes do not alter the essence of the License purchased.
7. Intellectual property
- Hubport's: we retain all intellectual property rights in the Software, source code, interface and the Hubport brand. The Customer receives a right of use only, not ownership.
- The Customer's: data the Customer enters or syncs into the system belongs to the Customer.
8. Data retention and deletion
- After the Plan expires, the account becomes read-only. If not renewed within 90 days, Hubport may (but is not obliged to) permanently delete the Customer's data.
- The Customer may export data before expiry. Hubport is not liable for data loss caused by late renewal.
- Details on personal data processing are set out in the Privacy Policy.
9. Disclaimer
- The Software is provided "as is". We strive to keep the service stable but do not guarantee it will be uninterrupted or error-free.
- Hubport is not liable for incidents, interruptions or account restrictions caused by third-party platforms (Facebook/Meta, TikTok, Zalo, marketplaces, etc.) or by changes in their policies.
10. Limitation of liability
In all cases, Hubport's total liability to the Customer shall not exceed the Plan fees paid by the Customer in the 3 months preceding the event giving rise to the loss.
11. Force majeure
Neither party is liable when performance is prevented by force majeure events such as natural disasters, epidemics, war, telecommunication cable failures, infrastructure provider outages or decisions of competent authorities.
12. Governing law and disputes
This Agreement is governed by the laws of Vietnam. Disputes are first resolved through negotiation and mediation; failing that, either party may bring the matter before a competent court in Vietnam.
